This role is our first dedicated legal transactions hire on the real estate and data center side and so will cover a broad mandate, from joint venture formations and land acquisitions to hyperscale leases, build-to-suit transactions, and capital raises.

The right person brings both legal depth and strong commercial judgment, and is comfortable taking senior leadership’s direction on deal strategy and running with it through execution. You will support term sheet negotiations, manage outside counsel through definitive documentation, and ensure that our agreements reflect how we think about risk, economics, and control. Key Responsibilities

Include but are not limited to: Support the structuring and negotiation of joint ventures, partnerships, and co-investment arrangements with institutional capital partners, including multi-tiered JV / PropCo / DevCo structures, LLC and shareholder agreements, waterfalls and distribution mechanics, term sheets, etc.

Requirements

Support equity capital raises and co-investment processes, including diligence coordination, information rights, confidentiality arrangements, and investor documentation Direct and manage outside counsel across multiple jurisdictions, conveying deal strategy, assigning workstreams, reviewing work product, and ensuring the business perspective is reflected in all documentation; manage legal budgets and timelines Conduct commercial and legal due diligence on potential partners, co-venturers, tenants, and counterparties; provide strategic advisory on credit risk, structural risk, and deal alignment Advise on portfolio-level matters arising from JV arrangements, including exclusivity scope, investment opportunity allocation, governance, information rights, and exit mechanics Support deal execution end-to-end, from term sheet through close, balancing legal rigor with commercial objectives Skills
